EchoStar Corporation Announces Additional Conversion Period for 3.875% Convertible Senior Secured Notes Due 2030

ENGLEWOOD, Colo., Jan. 5, 2026 /PRNewswire/ — EchoStar Corporation (NASDAQ: SATS) (the “Company”) has notified holders of its 3.875% Convertible Senior Secured Notes due 2030 (the “Notes”) that the Notes are convertible, at the option of the holders (the “Conversion Option”) beginning on January 1, 2026, and ending at the close of business on March 31, 2026. The Notes are convertible into cash, shares of the Company’s common stock or a combination thereof, at the Company’s election. Any determination regarding the convertibility of the Notes during future periods will be made in accordance with the terms of the Indenture governing the Notes.

The Notes became convertible because the last reported sale price of shares of the Company’s common stock, for at least 20 trading days during the period of 30 consecutive trading days ending on, and including, the last trading day of the calendar quarter ended December 31, 2025, was greater than 130% of the conversion price in effect on each applicable trading day.

The Notes are convertible at a conversion rate of 29.73507 shares of the Company’s common stock per $1,000 principal amount of Notes, which is equivalent to a conversion price of approximately $33.63 per share of common stock. A holder may surrender all or any portion of its notes for conversion in principal amounts of at least $1.00 or integral multiples of $1.00 in excess thereof.

The Company has issued a notice to holders with respect to the Conversion Option specifying the applicable terms, conditions and procedures. Despite having grown to become Bitcoin’s most successful layer-2 scaling solution, with instant and low-fee payments, Lightning’s scale is limited by its reliance on payment channels. Although Lightning shifts most transactions off-chain, each payment channel still requires an on-chain transaction to open and (usually) another to close. As adoption grows, pressure on the blockchain grows with it. The need for a more scalable approach to managing channels is clear. Channel factories were supposed to meet this need, but where are they? In 2025, subnetworks are emerging that revive the impetus of channel factories with some new details that vastly increase their potential. They are natively interoperable with Lightning and achieve greater scale by allowing a group of participants to open a shared multisig UTXO and create multiple bilateral channels, which reduces the number of on-chain transactions and improves capital efficiency. Achieving greater scale by reducing complexity, Ark and Spark perform the same function as traditional channel factories with new designs and additional capabilities based on shared UTXOs.  Channel Factories 101 Channel factories have been around since the inception of Lightning. A factory is a multiparty contract where multiple users (not just two, as in a Dryja-Poon channel) cooperatively lock funds in a single multisig UTXO.
